IP & LICENSING
Effective Date: August 22, 2026
This IP & Licensing page explains how intellectual property is handled across every engagement with NavRitu Digital (“we,” “us,” or “our”) — what you own, what we retain, and how licensed third-party components fit in. It works together with our Master Terms of Service and our Open-Source & Third-Party Licensing Policy.
1. When Ownership Transfers
Full and final payment triggers ownership transfer. Ownership of custom deliverables created specifically for you — code, designs, content, and similar work product — transfers to you only once we've received full and final payment for the applicable engagement. Before that point, all work product remains our property, and any use of it by you is at our discretion.
2. What We Retain
- Pre-existing tools, frameworks, internal libraries, templates, and reusable components used to deliver your project
- Our general know-how, methodologies, and processes developed over time, even where first applied on your engagement
We grant you a non-exclusive license to use these retained components solely as embedded in your delivered work — you don't need to license them separately to use your finished product.
3. Third-Party & Open-Source Components
Deliverables often include third-party licensed material — stock assets, fonts, plugins, or open-source libraries. These remain subject to their own license terms and are not owned by either party. Where relevant, we can provide a list of major third-party/open-source components used in your deliverable and their licenses; see our Open-Source & Third-Party Licensing Policy for how we select and manage these.
4. Your Own Materials
Any trademarks, logos, content, data, or brand assets you provide to us remain your property. We use them only to deliver the agreed services and will not claim ownership over them.
5. IP Infringement Protection
We stand behind the originality of work we create for you. If a third party claims that a deliverable we created infringes their intellectual property rights, we will work with you in good faith to resolve it, provided the claim doesn't arise from materials, instructions, or third-party components you supplied or specifically directed us to use.
6. Portfolio Rights
Unless you request confidentiality in writing, we may showcase completed work (excluding confidential or sensitive material) in our portfolio, case studies, and marketing, to demonstrate our capabilities to future clients.
